Part A. General terms and conditions

These General Terms apply to every service supplied by Exclusive Eco (Pty) Ltd, together with the Schedule(s) in Part B relevant to the service(s) on the Client’s quotation or invoice. Where more than one service is quoted or invoiced together, the corresponding Schedule for each applies alongside these General Terms.

1. Parties and Definitions

1.1 “Exclusive Eco”, “the Contractor”, “we/us/our” means Exclusive Eco (Pty) Ltd, registration number 2021/977094/07, of George, Western Cape. “The Client”, “the Owner” or “you” means the person or entity procuring Services.

1.2 “Agreement” means these General Terms (Part A), the applicable Schedule(s) (Part B), the Exclusive Eco Refund and Cancellation Policy published at www.exclusiveeco.co.za/refund-and-cancellation-policy/, and the accepted quotation, invoice, or treatment report. “Services” means any pest, wildlife, bird or bat, exclusion, or hygiene service Exclusive Eco supplies. “Site” means the property where the Services are performed.

1.3 “CPA”, “POPIA”, “ECT Act” and “NEMBA” refer respectively to the Consumer Protection Act 68 of 2008, the Protection of Personal Information Act 4 of 2013, the Electronic Communications and Transactions Act 25 of 2002, and the National Environmental Management: Biodiversity Act 10 of 2004.

2. Quotations and Acceptance

2.1 Quotations are valid for 7 days unless stated otherwise. Acceptance (by signature, email confirmation, an instruction to proceed, or payment of a deposit) constitutes acceptance of this Agreement.

2.2 Any change to the agreed scope must be confirmed in writing (email included) before the varied work is carried out, save where immediate action is reasonably necessary for safety.

3. Fees and Payment

3.1 Fees are as set out in the quotation or invoice, charged on a fixed-price, per-treatment, hourly, or contract basis as described in the applicable Schedule. Payment is due per the invoice terms, or on completion if none is stated.

3.2 Invoices and treatment reports are deemed correct unless the Client objects in writing within 7 days. Late payment may attract interest, and Exclusive Eco may suspend ongoing or scheduled Services until payment is received.

3.3 Where a deposit is specified in the applicable Schedule or quotation, it is payable before work is scheduled. A deposit is part payment towards the fees and is not an additional charge. If the Client cancels, Exclusive Eco may retain from the deposit a reasonable amount calculated under clause 8.1, and refunds the balance to the Client. A deposit is not retained in full as a matter of course.

3.4 For work outside Exclusive Eco’s normal service area, travel (per kilometre or as quoted) and, where an overnight stay is required, accommodation are charged as separate line items on the quotation. Where a job runs over multiple days on site (for example, inspection, treatment, and follow-up phases), the quoted travel and accommodation reflect the planned schedule; additional days required due to Client-caused delay or obstruction may be charged accordingly.

4. Client Obligations

4.1 The Client must give Exclusive Eco accurate information about the problem and the Site (including known allergies, aquariums, or hazards), safe and reasonable access, and any utilities reasonably required.

4.2 The Client must keep children, pets, and bystanders away from technicians, equipment, chemicals, and treated areas during the Service and for any period stated afterward, and must not tamper with equipment, bait, traps, or treated areas.

4.3 Where work may affect a shared boundary or neighbouring property, obtaining any necessary neighbour consent is the Client’s responsibility. The Client must ensure the Site is not obstructed by other contractors on the scheduled date without prior arrangement; delay caused by poor planning on the Client’s part may incur an additional charge.

5. Precautions Before and After Treatment

Where a Service involves a chemical, bait, or other treatment product, the following general precautions apply in addition to any specific instructions given on site.

Before treatment:

  • Cover or store away exposed food, remove kitchen items from treated cupboards, and leave cupboard doors and drawers open.
  • Remove pets and children from the area, and cover or remove tropical fish and aquariums.
  • Vacate the premises where instructed, and tell the technician about any known allergies beforehand.

After treatment:

  • Do not re-enter until the stated period has lapsed (minimum four hours unless otherwise advised), and ventilate before re-entry.
  • Keep pets off treated areas until dry. Wash eating utensils before reuse but avoid wiping down the treated surfaces themselves.
  • Avoid barefoot contact with treated carpets for 3 days, and leave bait stations and exclusion or trap equipment undisturbed.

Note: full effect can take up to 21 days. A brief increase in activity after treatment is common and usually a reaction to the product, not a sign of failure.

6. Limitations of Service

6.1 Pest, wildlife, bird, and bat control are not exact sciences. Outcomes depend on weather, site conditions, neighbouring properties, and the target species’ own behaviour, all outside Exclusive Eco’s control.

6.2 Save for an express written warranty on the quotation, invoice, treatment report, or applicable Schedule, Exclusive Eco does not guarantee complete or permanent eradication. Continued or recurring activity does not on its own mean the Service was defective. Where a warranty is given, it depends on the Client promptly notifying Exclusive Eco of any recurrence and giving reasonable access for follow-up.

6.3 Follow-up work beyond the original scope will be quoted separately unless covered by an applicable warranty.

7. Concealed and Inaccessible Areas

7.1 Quotations assume no earthworks or opening of concealed areas is required. If this becomes necessary once work has started, the additional cost is for the Client’s account and will be communicated before proceeding, save where immediate action is needed. Exclusive Eco is not responsible for damage to cables or pipes hidden in walls or floors unless accurate plans were supplied beforehand.

8. Cancellation and Refusal of Service

8.1 The Client may cancel or reschedule at any time. Where at least 48 hours’ notice is given, no charge applies. Where shorter notice is given, or where Exclusive Eco attends and cannot obtain access to the Site, Exclusive Eco may charge a reasonable amount limited to costs actually incurred and income actually lost, for example travel already undertaken, materials or exclusion devices already committed to the job, and a reserved slot that could not be filled. Exclusive Eco will notify the Client of any such charge before invoicing it. Where the slot is filled, no more than a reasonable administrative amount is charged. No cancellation charge applies where the Client cannot honour the booking because of the death or hospitalisation of the person for whom the booking was made. Emergency call-outs follow Schedule 13.

8.2 Exclusive Eco may pause or stop work, without liability, where site conditions are unsafe, access is denied, instructions are ignored, equipment is tampered with, or payment is overdue. Fees for time and materials already committed remain payable.

9. Warranty

9.1 Where offered, warranty period and scope are as stated on the quotation, invoice, treatment report, or applicable Schedule, and are limited to the area actually treated. A warranty does not cover new areas, different species outside the original scope, or conditions arising after building work or alterations by the Client or a third party.

10. Liability and Indemnity

10.1 Exclusive Eco will perform the Services with reasonable skill and care. To the extent permitted by law, Exclusive Eco’s total liability for any claim arising from the Services is limited to direct damages, capped at the fees paid for the specific service in question, except where the loss arises from Exclusive Eco’s gross negligence or wilful misconduct. Nothing here excludes liability that cannot lawfully be excluded under the CPA.

10.2 Exclusive Eco is not liable for indirect or consequential loss, for loss or damage caused by fire, water, or weather, or for the behaviour of any pest, bird, or animal before treatment or after it has been removed, excluded, or relocated. This falls outside Exclusive Eco’s control.

10.3 The Client indemnifies Exclusive Eco, its directors, employees, and agents against claims, costs, and damages arising from the Services, save to the extent caused by Exclusive Eco’s negligence. Exclusive Eco holds public liability insurance; proof is available on request.

11. Permits and Regulatory Compliance

11.1 Exclusive Eco holds the licences and permits required by law for the Services it provides. Where a Service involves capturing, culling, excluding, or moving an indigenous or listed species, Exclusive Eco will obtain any permit required from the relevant provincial conservation authority (such as CapeNature) before undertaking that activity, per NEMBA and provincial regulation. The Client must provide accurate information about known wildlife on Site so Exclusive Eco can determine what permit, if any, is needed.

12. Health, Safety and Confidentiality

12.1 Exclusive Eco’s technicians take reasonable safety precautions on Site; the Client must disclose known site hazards beforehand. Each party will keep confidential the other’s pricing, methods, and business information, save where disclosure is required by law.

13. Protection of Personal Information (POPIA)

13.1 Exclusive Eco collects and processes the Client’s personal information only for legitimate business purposes connected to the Services (quoting, billing, scheduling, and legal compliance), and by engaging Exclusive Eco the Client consents to this processing.

13.2 Exclusive Eco will not disclose the Client’s personal information to third parties except where required by law or necessary to render the Services (for example, a permit-issuing authority), and will keep it secure and retain it only as long as reasonably necessary.

13.3 The Client may request access to, correction of, or deletion of their personal information, and must inform Exclusive Eco of any changes. Unresolved concerns may be raised with the Information Regulator (South Africa).

14. Electronic Communications and Consumer Rights

14.1 Quotations, invoices, and notices may be issued and accepted electronically (email, SMS, WhatsApp) with the same legal effect as a signed paper document, per the ECT Act.

14.2 Where the Client is a “consumer” under the CPA, nothing in this Agreement limits any right the Client has under that Act; to the extent of any conflict, the CPA prevails.

15. Force Majeure

15.1 Exclusive Eco is not liable for delay or failure to perform due to circumstances beyond its reasonable control (extreme weather, civil unrest, pandemic, or government restriction), and will reschedule affected Services as soon as reasonably possible.

16. Dispute Resolution and Governing Law

16.1 Disputes will first be raised through good-faith discussion between the parties. This does not affect the Client’s right to approach the Consumer Goods and Services Ombud or the National Consumer Commission in respect of any right under the CPA. Complaint handling and escalation are set out in the Refund and Cancellation Policy. This Agreement is governed by the laws of the Republic of South Africa, and the parties consent to the jurisdiction of the South African courts.

17. General

17.1 This Agreement is the entire agreement between the parties for the Services and supersedes prior arrangements. Exclusive Eco may update these General Terms and the Schedules from time to time; the version in force when a quotation is accepted applies to that engagement, and material changes to an ongoing Service will be communicated before they take effect.

17.2 If any provision is found invalid or unenforceable, it will be severed and the rest of the Agreement remains in force. Exclusive Eco may use suitably qualified subcontractors and remains responsible for the Services performed.

Part B. Service specific schedules

Each Schedule below applies only to the extent that the corresponding service appears on the Client’s quotation or invoice, and is read together with Part A.

Schedule 1: General insect and crawling pest treatment

Applies to: Ant, Cockroach, Fly, Flea, Fish moth, Tick, Bedbug, Crawling insect, Wasp, Mosquito, Spider, and Scorpion control.

1.1 Exclusive Eco will inspect the Site, identify the target pest, and apply the treatment method(s) it considers appropriate: chemical spraying, dusting, gel or granular baiting, misting, or physical trapping. No treatment guarantees total eradication, given the adaptable nature of insects and factors such as food availability, structural condition, and season.

1.2 Bedbugs typically need two or more follow-up visits roughly 10 to 14 days apart to break the breeding cycle. Not completing the recommended course may reduce effectiveness, and Exclusive Eco is not responsible for that reduced effectiveness.

1.3 Where a nest is confirmed to be a honeybee colony rather than wasps, Schedule 6 (Bee Removals) applies instead. Mosquito control may include treatment of standing water and breeding sites; population levels are significantly affected by neighbouring properties and rainfall, outside Exclusive Eco’s control.

1.4 Where sealing or void treatment is required in a wall cavity or roof space, Exclusive Eco’s priority is functional pest control. Any aesthetic reinstatement (painting, patching) is the Client’s responsibility unless expressly quoted.

Schedule 2: Rodent control: chemical (baiting) method

Applies to: Rodent Control, Chemical or Baiting Method.

2.1 Exclusive Eco deploys registered rodenticide, tamper-resistant bait stations, and/or mechanical traps as appropriate. Full effect can take up to 21 days; a short-term increase in activity after baiting is common and usually reflects a reaction to treatment, not failure.

2.2 Rodent activity may persist or recur due to food availability, structural gaps, or season; further intervention will be quoted separately unless covered by warranty. Non-poison methods may be accommodated on request but carry no guarantee of effectiveness.

2.3 Bait stations are tamper-resistant; the Client must not move, open, or interfere with them and must keep children and pets away. Where exclusion (sealing entry points) forms part of the Service, functionality is the priority; aesthetic reinstatement is the Client’s responsibility.

Schedule 3: Rodent control: non-toxic / humane method

Applies to: Rodent Control, Non-Toxic or Eco (Humane, No Poison) Method.

3.1 Exclusive Eco uses non-toxic measures only: approved snap traps and other live-capture or mechanical methods. No rodenticide is used under this Service. Effectiveness varies with infestation size and rodent behaviour, and there is no guarantee of complete eradication.

3.2 Where live-capture traps are used, the Client must provide reasonable access for regular trap checks (or check traps themselves where agreed) to avoid unnecessary distress to captured animals.

3.3 Persistent or recurring activity may call for further non-toxic measures, quoted separately unless covered by warranty. Where exclusion work forms part of the Service, functionality is the priority; aesthetic reinstatement is the Client’s responsibility.

Schedule 4: Bird control

Applies to: Bird Control.

4.1 Exclusive Eco assesses bird activity and implements deterrents (netting, spiking, wiring, or visual or auditory deterrents) with ongoing monitoring where quoted. Only non-lethal, eco-friendly methods are used; no method will harm a protected species or unlawfully disrupt an indigenous ecosystem. Where an indigenous or protected species is involved, Exclusive Eco will first establish whether a permit is needed.

4.2 No solution can guarantee complete or permanent elimination of bird activity, as behaviour changes with nesting habits and environment; follow-up work will be quoted separately unless covered by warranty. Functionality is the priority over aesthetic finish; any aesthetic reinstatement is the Client’s decision and cost.

Schedule 5: Bat control and exclusion

Applies to: Bat Control and Exclusion.

5.1 Exclusive Eco identifies bat roosting and access points, installs one-way exclusion devices, and seals access points. Where quoted, an initial inspection is scheduled to locate the points bats use to enter and exit the structure and to determine the positioning of exclusion devices. Bats roosting in buildings in the Western Cape are protected under provincial conservation legislation; Exclusive Eco will not harm or trap bats, and any required permit is obtained before work begins.

5.2 Access points identified at inspection, or as quoted, are sealed using durable, weatherproof, bat-proof materials selected for the structure. Functionality is the priority over aesthetic finish: any painting over the sealed closures is the Client’s sole responsibility. Sealing does not include the removal of gutters or other obstructing fixtures; if such removal becomes necessary, the Client must arrange for a suitable professional to undertake it at the Client’s cost.

5.3 Exclusion devices (valves) remain the property of Exclusive Eco at all times and are removed after successful exclusion. For long-distance jobs, the Client may, by arrangement, have a handyman remove the devices under Exclusive Eco’s telephonic guidance, with Exclusive Eco arranging collection thereof. Lost or damaged devices are for the Client’s account.

5.4 A deposit of 60% secures the booking; the balance is due on completion unless agreed otherwise in writing. If the booking is cancelled, the deposit is dealt with under clauses 3.3 and 8.1. Bat exclusions require exclusion devices, materials and a reserved multi day slot, all of which are committed early, so a cancellation close to the scheduled date may absorb most or all of the deposit. Exclusive Eco will set out how the retained amount was calculated. Additional access points discovered once work has started are extra cost; where caused by a missing house component (e.g. fascia or ceiling board), addressing that component is the Client’s responsibility.

5.5 Exclusive Eco guarantees the effectiveness of its exclusion work for 24 months from the date of exclusion, for the specific access points it sealed. The guarantee does not cover: new access points; points reopened by renovations, building work, or any damage to, removal of, or alteration of the work done; re-entry following storm damage; or re-entry in a concealed place.

5.6 The guarantee depends on the Client notifying Exclusive Eco immediately upon detecting bats within the guarantee period. Exclusive Eco will schedule an inspection within 14 working days of notification. If that inspection finds no bats present in the excluded structure, or finds that re-entry resulted from a cause excluded under clause 5.5, the Client will be liable for the time, labour, and travel or accommodation costs incurred for that inspection.

Schedule 6: Bee removals

Applies to: Bee Removals.

6.1 Exclusive Eco prioritises live removal and relocation of honeybee colonies over extermination, given their ecological importance. Where live removal is not reasonably practical (safety, location, or Client instruction), Exclusive Eco will discuss alternatives, which may include managed destruction where necessary for safety.

6.2 Where a colony is inside a wall cavity or roof space, full removal may require opening the structure. This is quoted as additional work, with structural reinstatement the Client’s responsibility unless expressly included.

6.3 Removal does not guarantee bees will not return or that another colony will not establish, particularly where honey or wax residue remains; nor can Exclusive Eco guarantee a relocated colony’s survival. Bee removal carries an inherent sting risk. The Client must keep people and pets clear of the work area and disclose any known sting allergy beforehand, and acknowledges these risks as part of this Agreement.

Schedule 7: Snake removals

Applies to: Snake Removals.

7.1 Exclusive Eco captures and safely relocates snakes reported on a Client’s property. Response time is best-effort and cannot be guaranteed, depending on technician availability, location, and conditions. This Service is also available 24/7 under Schedule 13.

7.2 Pending arrival, the Client and bystanders must keep a safe distance, must not attempt to catch, handle, or kill the snake, and must keep children and pets away. Exclusive Eco is not responsible for injury resulting from someone attempting to handle a snake themselves.

7.3 Certain species are protected under provincial legislation and NEMBA; Exclusive Eco will identify the species where reasonably possible and relocate or, where legally required, hand it to the relevant conservation authority. Removing one snake does not mean none remain on the property. Conditions such as rodent activity and ground cover may attract further activity, and ongoing prevention may be needed. Fees are charged per call-out, which may include a standard or after-hours fee plus relocation.

Schedule 8: Mole control

Applies to: Mole Control.

8.1 Exclusive Eco controls moles primarily through humane trapping. Locating active tunnels requires minor disturbance to lawns and soil (probing, small excavations at mound sites). This is inherent to the process, and Exclusive Eco is not liable for reasonable cosmetic disturbance of this kind.

8.2 Moles operate through burrow systems that may extend onto neighbouring properties, so complete or permanent eradication cannot be guaranteed and re-infestation from adjoining land is possible. Traps are checked at intervals agreed with the Client, who must not interfere with them between visits.

Schedule 9: Wildlife management, removal and trapping services

Applies to: Other Wildlife Management or Removal and Trapping Services (e.g. genets, mongoose, vervet monkeys, dassies, and other animals not covered by a specific Schedule).

9.1 Exclusive Eco provides humane culling, live trapping, capture, and relocation using approved methods, on private, commercial, industrial, or government sites. These are specialised wildlife control activities, distinct from general pest control, and the Client agrees to comply with any site-specific requirements given.

9.2 Unless agreed otherwise in writing, this Service is billed hourly at the quoted rate, including reasonable travel, setup, and clean-up time. There is no per-animal fee: the Client pays for hours worked whether or not a particular animal is captured or culled in that time.

9.3 Where required, Exclusive Eco secures permits from the relevant provincial conservation authority before capturing, culling, or moving a listed species, per NEMBA and provincial regulation. The Client must give accurate information about known wildlife on Site so Exclusive Eco can determine what permit is needed.

9.4 The Client must secure pets and keep children and bystanders clear of traps and treatment areas, and provide clear access to the work area. Exclusive Eco does not guarantee the complete or permanent absence of any animal: some may evade capture, or the property may see later activity from other individuals of the same species. Once an animal is removed or relocated, its subsequent behaviour is outside Exclusive Eco’s control.

Schedule 10: Structural pest proofing and exclusion

Applies to: Structural Pest Proofing and Exclusion.

10.1 Exclusive Eco identifies and seals entry points used by pests, rodents, or wildlife using appropriate materials (sealant, mesh, flashing, filler foam) as detailed in the quotation. Where stated, a deposit secures the booking, with the balance due on completion. If the booking is cancelled, the deposit is dealt with under clauses 3.3 and 8.1.

10.2 Exclusive Eco makes every reasonable effort to identify all access points during its initial inspection; further points discovered once work has started are additional work, quoted separately. Where an access point results from a missing or damaged structural component, rectifying it is the Client’s responsibility unless otherwise agreed.

10.3 Where a guarantee period is stated, it covers re-entry through the specific points Exclusive Eco sealed, not new points or points reopened by later building work or third-party interference. Functionality is the priority over aesthetic finish; reinstatement is the Client’s decision and cost.

Schedule 11: HACCP pest management programmes

Applies to: HACCP Pest Management Programmes (for food-handling, storage, and processing facilities).

11.1 Exclusive Eco provides structured pest management for food safety and hygiene compliance: scheduled inspections, numbered monitoring stations, activity trend reporting, and documentation suitable for audit purposes, retained for the period agreed and available on request.

11.2 This programme is one part of the Client’s overall food safety system; Exclusive Eco does not guarantee the outcome of any audit or certification, as that depends on factors beyond pest control. Where an inspection identifies structural or housekeeping deficiencies contributing to pest risk, Exclusive Eco will record and recommend corrective action. Implementing it is the Client’s responsibility, and Exclusive Eco is not responsible for activity attributable to deficiencies it has already flagged and the Client has not addressed.

11.3 Call-outs to address a critical non-conformance outside the standard visit schedule are billed under Schedule 13 unless otherwise agreed under a service contract.

Schedule 12: Integrated pest management (IPM) programmes

Applies to: Integrated Pest Management (IPM) Programmes.

12.1 Exclusive Eco’s IPM programmes combine routine inspection, monitoring, prevention, and exclusion with targeted, minimised chemical use, delivered under an agreed visit frequency and scope as set out in the relevant service agreement.

12.2 Treatment intensity escalates once monitoring shows an agreed activity threshold is met, rather than applying uniformly at every visit. Activity below that threshold does not mean the programme has failed. Success depends significantly on sanitation and structural measures identified during inspections; implementing these is the Client’s responsibility, and continued activity attributable to uncorrected conditions already flagged is not Exclusive Eco’s responsibility. Performance is measured against the KPIs recorded in the service agreement, not a guarantee of zero pest presence.

Schedule 13: 24/7 emergency pest call-out services

Applies to: 24/7 Emergency Pest Solutions (after-hours and emergency call-outs across all service types).

13.1 Emergency call-outs (nights, weekends, and public holidays) attract a call-out fee in addition to the cost of treatment or removal, plus an after-hours surcharge where applicable, confirmed at the time of booking. Response time is best-effort and not guaranteed, depending on technician availability, location, and conditions.

13.2 Where the on-site assessment reveals work beyond what was described at booking, Exclusive Eco will inform the Client of any additional cost before proceeding, save where immediate action is needed for safety. Payment is due on completion unless the Client holds a standing account on agreed terms.

Schedule 14: Hygiene services

Applies to: Hygiene Services.

14.1 Exclusive Eco supplies, installs, and/or services washroom and workplace hygiene equipment (soap and sanitiser dispensers, air fresheners, sanitary disposal units, hand towel dispensers) and consumable refills, on a rental, service-contract, or once-off basis as specified in the quotation.

14.2 Rented or contract equipment remains Exclusive Eco’s property unless the quotation states it is sold to the Client, who is responsible for loss or damage beyond fair wear and tear. Minimum contract term and cancellation notice are as stated in the service agreement.

14.3 Equipment is serviced and consumables replenished at the agreed interval; call-outs for damage or misuse by the Client are billed separately, and pricing may be adjusted from time to time on reasonable notice. Hygiene waste is handled per applicable municipal by-laws, and the Client is responsible for correctly categorising waste for collection.

Acceptance of terms

By accepting a quotation from Exclusive Eco (Pty) Ltd, or by instructing Exclusive Eco to proceed with any Service, the Client confirms that they have read, understood, and agree to be bound by Part A (General Terms and Conditions), the applicable Schedule(s) in Part B, and the Exclusive Eco Refund and Cancellation Policy published at www.exclusiveeco.co.za/refund-and-cancellation-policy/.

A signed copy of these terms, or a copy of the two page summary that accompanies every quotation and invoice, is available on request from info@exclusiveeco.co.za.
